01.

Scope of Services

Vivago Technologies provides bespoke digital engineering, web and mobile application development, UI/UX interface design, cloud architecture, and strategic technology consulting. All specific deliverables, technical specifications, timelines, and milestones are explicitly defined in individual Statements of Work (SOW) or project agreements executed between Vivago Technologies and the client.

02.

Client Responsibilities & Collaboration

High-performance engineering requires close synergy. To ensure timely delivery and uncompromised software quality, clients agree to:

  • Provide accurate, timely project requirements, brand assets, API credentials, and necessary third-party access.
  • Designate a primary product owner or decision-maker empowered to approve deliverables and sprints.
  • Review staging milestones and provide constructive feedback within mutually agreed review windows.
  • Fulfill milestone payments in alignment with the agreed project schedule.
  • Ensure full legal ownership or appropriate licenses for all third-party media, brand marks, or datasets provided to us.
03.

Intellectual Property Ownership

We believe in complete ownership for our clients. Upon 100% full settlement of all agreed project fees, Vivago Technologies assigns all rights, title, source code, and intellectual property ownership of the custom software deliverables directly to the client. Vivago Technologies retains the standard right to showcase completed public projects within our design portfolio and case studies (with prior client approval) and retains ownership of general, non-proprietary internal libraries and pre-existing architectural frameworks.

04.

White-Labeling, Portfolio Exemption & Credit Removal

By default, Vivago Technologies reserves the right to include a subtle, discreet attribution link (e.g., 'Engineered by Vivago Technologies') in the footer of delivered web and mobile applications, as well as reference completed non-confidential project milestones in our public portfolio and marketing case studies. If a client requires complete white-labeling—including the permanent removal of all Vivago footer credits, absolute non-attribution, and a strict exemption from Vivago's public portfolio or marketing showcases—a White-Label / Non-Attribution fee equal to 15% of the total project valuation will apply. Upon settlement of this fee, Vivago Technologies executes a full non-attribution covenant, permanently waiving all public claims, badges, and portfolio references associated with the delivered codebase.

05.

Confidentiality & Non-Disclosure

Confidentiality is fundamental to our engineering partnerships. Both parties mutually agree to hold all proprietary trade secrets, business logic, system architecture, financial terms, and customer data in strict confidence. This binding non-disclosure commitment persists throughout the project engagement and remains in effect for a minimum period of three (3) years following the final handover.

06.

Milestone-Based Payment Structure

To ensure transparency and mutual security, our engagements operate under an equitable milestone structure tied directly to verified engineering progress:

Stage 1: Advance Deposit (30%)

Secures development slot, dedicates engineering capacity, and funds initial system architecture, wireframes, and database modeling.

Stage 2: First Milestone (30%)

Due upon verified completion of approximately 30% of total scope, accompanied by sprint reports and functional demonstration.

Stage 3: Second Milestone (30%)

Due upon reaching 60% completion and submission of the second functional milestone build for client review.

Stage 4: Staging & User Acceptance Testing

Upon reaching 90% cumulative payment, the staging environment is made available for client User Acceptance Testing (UAT). Source code remains securely hosted on Vivago repositories during this phase.

Stage 5: Final Handover (10%)

Final balance settled upon UAT sign-off. Full source code repository ownership, cloud infrastructure credentials, and production deployment are transferred to the client.

07.

Revisions & Change Requests

Every project includes predefined revision cycles within the agreed Statement of Work. When feature requirements evolve beyond the initial scope, we provide formal change requests quoted either as fixed-price addendums or billed transparently at our standard engineering hourly rates.

08.

Warranties & Limitation of Liability

Vivago Technologies warrants that all code delivered is written with professional craftsmanship and aligns with modern web and security standards. In no event shall Vivago Technologies's aggregate contractual or legal liability exceed the total fees paid by the client under the specific Statement of Work in question.

09.

1-Year Bug Warranty & SLA Guarantee

We take pride in building reliable software. We provide a full 1-year (365 days) free bug-fixing warranty following production handover, covering defects in our original delivered source code. Additionally, we maintain clear emergency SLA response times:

  • Critical Severity (Complete system outage or security incident): Initial response within 2 hours
  • High Severity (Major business workflow or transaction failure): Initial response within 4 hours
  • Medium Severity (Non-blocking feature issue or UI defect): Initial response within 12 hours
  • Low Severity (Cosmetic enhancement or minor question): Initial response within 24 hours
10.

Force Majeure

Neither party shall be held liable for failure or delay in performance caused by circumstances beyond reasonable control, including natural disasters, national infrastructure disruptions, acts of government, or widespread power and internet outages.

11.

Governing Law & Dispute Resolution

This agreement and all subsequent Statements of Work are governed by and construed in accordance with the laws of Bangladesh. Any dispute arising under these terms shall first be addressed through good-faith executive consultation, followed by formal mediation, and finally binding arbitration in Dhaka, Bangladesh.
